Business Selling Process

In business selling process we help business seller complete all steps of the process but one step at a time for successful sale and consummation. If you plan to sell your business to a third party, then we recommend to follow follow steps in our business selling system/ process.

Sale-Process

STEPS IN BUSINESS SELLING PROCESS

Consultation and Engagement’ style=’default’ collapse_link=’true’]During initial consultation, we will explain our services, terms of engagement, and compensation model to assist you sell your company. On our agreement to represent you in the business sale process, we will start the process in strictly confidential manner in accordance with the terms of engagement. The agreement will clearly explain the scope of engagement, general responsibilities of the parties, confidentiality and non-disclosure clauses.[/spoiler]

Establishing a Value’ style=’default’ collapse_link=’true’]We valuate the business to determine the estimated fair market value (The price paid by a willing buyer to a willing seller assuming neither of them are under duress to do so.) as part of our consulting work. This information is critical for the seller to negotiating terms with the buyer and developing suitable financial and retirement plans.[/spoiler]

[spoiler title=’3. Preparing CBR (Confidential Business Review)’ style=’default’ collapse_link=’true’]We prepare Confidential Business Review Report (CBR) as part of our assignment highlighting marketing plan; financial information, operations plan; and company’s potential growth. Potential buyer requires such information and projections for conducting due diligence.[/spoiler]

[spoiler title=’4. Developing the Marketing Plan’ style=’default’ collapse_link=’true’]We will prepare Confidential Acquisition Memorandum, and list of prospective buyers as part of marketing plan. The CAM includes limited information about the company to solicit interest from the prospects. We select the type of buyers most fit for the business. There are four type of buyers e.g. Industry Buyer, Financial Buyer, Sophisticated Buyer, and Strategic Buyer. The seller approves the list of prospective buyers prepared after research before contacting them.[/spoiler]

[spoiler title=’5. Implementing Plan/ Identifying the Buyer’ style=’default’ collapse_link=’true’]We will contact the prospective buyers and get Confidentiality and Non-disclosure Agreement signed from the interested parties. We will facilitate a meeting between prospective buyer/s and seller to ascertain potential fit and for other questions that buyer may have. After successful meeting full disclosures and other information will be provided to the buyer. Buyer will provide non-binding LOI and will start their due diligence on the company.[/spoiler]

[spoiler title=’6. Negotiating & Deal Structuring’ style=’default’ collapse_link=’true’]We negotiate on behalf of our client once prospective buyer is identified, however, seller is engaged in negotiations regarding terms in the LOI and Purchase and Sale Agreement. This all is based on acquirer’s due diligence process reviewing company financials, legal documents, contracts, key employees, pending litigation/s, equipment and other. We will be in continuous contact to secure best offer from the buyer.[/spoiler]

[spoiler title=’7. Closing the Transaction’ style=’default’ collapse_link=’true’]Finally on  closing the transaction the company ownership will legally be transferred to the buyer.[/spoiler]
